THIS AGREEMENT CONTAINS A RELEASE OF LIABILITY AND A WAIVER OF CERTAIN RIGHTS. PLEASE READ IT CAREFULLY BEFORE AGREEING TO ITS TERMS.
These Terms and Conditions ("Terms") and the policies and documents referenced in them together form an agreement ("Agreement") between you ("you" and "your") and MAXACADEMY and its affiliates ("MAXACADEMY," "us," or "we").
If you are entering into this Agreement on behalf of an entity or organization, you represent and warrant that you are authorized to bind that entity to this Agreement, and all references to "you" will include that entity.
MAXACADEMY provides its users ("Users") with access to a variety of programs, events, courses, books, content, and services, including our health and English education and our Istanbul real-estate and immigration facilitation services (together, "Offerings"). We provide the Offerings through our websites and subdomains (the "Site") and other channels and platforms ("Platforms").
By accessing or using any Site or Platform, or any Offerings, or by otherwise agreeing to these Terms (including electronically), you accept and agree to be bound by this Agreement. This Agreement forms a binding legal agreement between you and MAXACADEMY as of the date you first accept it (the "Effective Date").
BY ENTERING INTO THIS AGREEMENT, YOU MAY BE WAIVING CERTAIN RIGHTS, INCLUDING PROVISIONS THAT LIMIT OUR LIABILITY AND THAT REQUIRE DISPUTES TO BE RESOLVED INDIVIDUALLY (SEE "DISPUTE RESOLUTION" BELOW). ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS.
Terms used in this Agreement have the meanings given here or, if not defined, their plain meaning as commonly interpreted under applicable law.
This Agreement governs your access to and use of the Site, Platforms, and all Offerings. Unless otherwise specified, this Agreement is the complete and exclusive understanding between you and MAXACADEMY and supersedes any prior oral or written communication regarding your use of the Site and Platforms.
Access to certain Offerings may require that you complete an order form or other ordering mechanism acceptable to MAXACADEMY (an "Order"). Each Order is made subject to the terms of this Agreement, and the terms of each Order apply to the Offerings specified on that Order.
Some Offerings — for example, our real-estate purchase and residency/citizenship facilitation services — may require you to agree to supplemental terms ("Supplemental Terms"), which are incorporated into and form part of this Agreement and control as to those specific Offerings.
If you enter into this Agreement on your own behalf, you do so as an individual. If you enter into it on behalf of an organization, you do so on that organization's behalf. In either case, you represent that you have the authority to enter into this Agreement.
MAXACADEMY may modify this Agreement from time to time. We will use reasonable efforts to provide notice of material modifications. Unless changed for legal reasons, modifications take effect a few days after posting. Your continued use after that date constitutes acceptance of the modified Agreement.
We reserve the right to modify or discontinue the Site, Platforms, or any Offerings at any time, with or without notice, and will not be liable to you or any third party for any such modification, suspension, or discontinuance.
The Site, Platforms, and Offerings are for individuals 18 years of age and older. By using the Site, you confirm that you are legally capable of entering into a binding agreement and meet all eligibility requirements. Real-estate and immigration services are further subject to eligibility under applicable Turkish law.
This Agreement is effective as of the Effective Date and continues until terminated as set out herein.
To access certain Offerings, you may need to create an account ("Account"). Your Account credentials are personal to you and may not be shared or transferred. You are responsible for keeping them secure and for all activity under your Account, and you will notify us promptly of any unauthorized use.
Any information you submit must be true, accurate, current, and complete, and you will keep it updated. This is especially important for real-estate and immigration services, where accurate identity and documentation are required by law.
Subject to your compliance with this Agreement, we permit you to access the Site, Platforms, and Offerings for your own personal or business use. You may not distribute, sell, resell, lease, license, sublicense, or transfer your access, or make the Offerings available to any third party.
You retain ownership of content you submit ("User Content"), but grant MAXACADEMY a worldwide, non-exclusive, royalty-free license to use, host, and display it as needed to operate and improve the Offerings. You are responsible for your User Content and represent that you have the rights to share it.
The Site, Platforms, and all Content (including courses, materials, books, designs, and trademarks) are owned by or licensed to MAXACADEMY and protected by law. Except for the limited access granted here, no rights are transferred to you. You may not copy, reproduce, or create derivative works without our written permission.
You agree not to misuse the Site or Offerings, including by: violating any law; infringing others' rights; uploading harmful code; attempting unauthorized access; reselling or scraping Content; or using the Offerings to deceive or harm others.
Our real-estate and immigration Offerings are facilitation and advisory services. We help connect you with licensed agents, lawyers, and authorities and assist with the process, but we do not guarantee any specific outcome. Residency and citizenship decisions rest solely with the relevant Turkish authorities and depend on your eligibility, documentation, and applicable law. Investment values and returns are not guaranteed.
THE SITE, PLATFORMS, AND OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. HEALTH CONTENT IS EDUCATIONAL AND DOES NOT REPLACE PROFESSIONAL MEDICAL ADVICE. WE DO NOT GUARANTEE ANY PARTICULAR HEALTH, EXAM, LEARNING, OR INVESTMENT RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXACADEMY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE OR OFFERINGS. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE RELEVANT OFFERING.
You agree to indemnify and hold harmless MAXACADEMY and its affiliates from any claims, damages, or expenses arising out of your use of the Offerings, your User Content, or your breach of this Agreement.
Any dispute arising under this Agreement will be resolved on an individual basis. Where permitted, disputes will be resolved through binding arbitration or before the competent courts of Istanbul, Turkey, and you waive any right to participate in a class action.
We may suspend or terminate your access at any time for any reason, including breach of this Agreement. Provisions that by their nature should survive termination will survive.
This Agreement is governed by the laws of the Republic of Turkey, without regard to conflict-of-law principles.
If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign this Agreement without our consent.
